These terms govern the use of Northmere's website and the engagement of Northmere's services. Northmere is a registered business at 36 Jalan Datoh, 30350 Ipoh, Perak, Malaysia. Questions about these terms may be directed to [email protected].
1. Definitions
- "Northmere," "we," "us," "our" — the registered business operating under the name Northmere at 36 Jalan Datoh, 30350 Ipoh, Perak, Malaysia.
- "Service" or "Services" — the education classes, document digitisation, and organisational engagement offerings described on this website and in written quotations.
- "User," "you," "your" — any individual or organisation that accesses this website or engages a Northmere service.
- "Agreement" — these Terms & Conditions, together with any written scope or quotation accepted by both parties.
- "Content" — all text, materials, workbooks, slides, reports, and other documents produced by Northmere in the delivery of its services.
2. Acceptance of Terms
By submitting an enquiry, signing a handling agreement, enrolling in a class, or otherwise engaging Northmere's services, you confirm that:
- You are at least 18 years of age, or an authorised representative of an organisation with capacity to enter a binding agreement.
- You have read and understood these terms.
- You agree to be bound by these terms in respect of your engagement with Northmere.
3. Description of Services
Northmere offers the following services in Malaysia, principally in Perak:
- Pre-Retirement Paperwork Primer — a three-hour general-education class covering common retirement-related documents in Malaysia. General information only; not professional financial, legal, or regulated advice.
- Records Digitisation and Indexing — a clerical service that scans, names, indexes, and returns household retirement paperwork under a signed handling agreement. Not an archival, legal, or financial service.
- Workplace Records Practice Review — a business-to-business engagement covering operational filing and retention practice for employers, cooperatives, and welfare committees. Concerns internal process only; does not address statutory obligations or employee entitlements.
Services are delivered in English from Northmere's office in Ipoh, with on-site visits available within Perak for the Workplace Practice Review. Geographic availability for other services is confirmed at the time of enquiry.
4. Engagement and Enrolment
A service engagement begins when both parties have exchanged written confirmation of the scope and fee. For class enrolments, confirmation is the written enrolment notice issued by Northmere. For the digitisation service, engagement begins upon signing of the handling agreement. For the Workplace Practice Review, engagement begins upon acceptance of the written scope and fee statement.
Northmere reserves the right to decline an enquiry or cancel a scheduled engagement at any time before written confirmation is exchanged, without liability.
5. User Responsibilities
- Provide accurate contact information when submitting an enquiry.
- For the digitisation service: ensure that all documents handed to Northmere are yours to share and are not subject to any legal restriction on handling.
- Not use Northmere's Content for commercial redistribution, resale, or reproduction without written permission.
- Not represent Northmere's general-information content as professional financial, legal, or regulated advice.
- Raise any concern about a service in writing to [email protected] within fourteen days of the issue arising.
6. Intellectual Property
All Content produced by Northmere — including class slides, workbooks, filing indexes, written gap reports, and template registers — remains the intellectual property of Northmere unless explicitly transferred in writing.
Upon payment of the agreed fee, you receive a non-exclusive, non-transferable licence to use the Content for your own personal or internal organisational purposes. You may not copy, reproduce, or distribute Northmere's Content to third parties without prior written consent.
7. Fees and Payment
All fees are quoted and invoiced in Ringgit Malaysia (RM). Published prices on this website are starting prices; the applicable fee for your engagement is confirmed in writing before work begins.
- Payment is due within fourteen days of invoice date unless otherwise agreed in writing.
- Accepted payment methods are confirmed at the time of quotation.
- Any applicable taxes will be stated on the invoice.
Cancellations and refunds: For class enrolments, cancellations made more than five working days before the class date receive a full refund. Cancellations within five working days of the class date are not refundable, but the enrolment may be transferred to a future class date at no charge. For the digitisation service, fees are refunded in full if Northmere is unable to complete the work within the agreed timeline through no fault of the client. For the Workplace Practice Review, fees paid for completed components are non-refundable.
8. Disclaimers
Northmere's services are general education and administrative organisation. Nothing Northmere provides — in a class, in a written report, in a workbook, or in any verbal or written communication — constitutes professional financial advice, legal advice, or any other form of regulated advice.
Northmere does not represent that attending a class or using a digitisation service will produce any particular outcome in relation to retirement entitlements, statutory rights, or financial position. Individual circumstances vary; qualified professional advice should be sought for any regulated question.
The website and its content are provided on an "as available" basis. Northmere makes reasonable efforts to keep information current but does not warrant that all content is complete, accurate, or up to date at all times.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Northmere's total liability to you in connection with any service engagement is limited to the fee paid for that specific engagement.
Northmere is not liable for any indirect, consequential, or economic loss arising from the use of its services or website, including loss of income, decisions made on the basis of class content, or reliance on any document index or filing system produced by Northmere.
Force majeure: Northmere is not liable for delays or non-performance caused by circumstances outside its reasonable control, including natural disasters, power failures, or government-imposed restrictions. In such cases, Northmere will notify you promptly and work with you to reschedule or adjust the engagement.
10. Indemnification
You agree to indemnify and hold Northmere harmless from any claim, loss, or expense arising from your breach of these terms, your misrepresentation of Northmere's services as regulated advice, or your unlawful handling of documents submitted under the digitisation service.
11. Termination
Either party may terminate an engagement in writing before the service has commenced, subject to the refund terms in Section 7. Once a service has begun, either party may terminate by written notice; fees for work completed up to the point of termination remain payable.
Sections 6, 8, 9, 10, and 13 of these terms survive termination of any engagement.
12. Data and Confidentiality
Personal data collected in connection with your enquiry or engagement is handled in accordance with our Privacy Policy and the Personal Data Protection Act 2010 (Malaysia).
Documents handled under the digitisation service are treated as confidential. Northmere staff who handle client documents are bound by confidentiality obligations. All Northmere copies of digitised files are deleted upon handover, as confirmed in writing.
13. Dispute Resolution and Governing Law
These terms are governed by the laws of Malaysia. Any dispute arising from an engagement with Northmere will first be addressed through informal written communication between the parties. If the matter is not resolved within thirty days of the initial written notice, either party may refer it to mediation before the Malaysian Mediation Centre, before any court proceedings are commenced.
Any court proceedings shall be brought in the courts of Perak, Malaysia.
14. General Provisions
- Entire agreement: These terms, together with any written scope or handling agreement, constitute the entire agreement between the parties in respect of a service engagement.
- Severability: If any provision of these terms is found unenforceable, the remainder continues in full effect.
- Waiver: Northmere's failure to enforce any term in a given instance does not constitute a waiver of that term.
- Assignment: You may not assign your rights under these terms without Northmere's prior written consent. Northmere may assign its obligations to a successor entity following written notice to you.
- Notices: Notices under these terms should be sent by email to [email protected] or by post to Northmere, 36 Jalan Datoh, 30350 Ipoh, Perak, Malaysia.
15. Changes to These Terms
Northmere may update these terms from time to time. The date at the top of this page reflects the most recent revision. For engagements already in progress, the terms in effect at the start of the engagement continue to apply unless both parties agree in writing to the revised terms. Continued use of the website after a revision constitutes acceptance of the updated terms.
